1. Acceptance of Terms

By accessing or using the Spry & Hodler Investment Group website, mobile application, or any of our investment services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use our Services.

These Terms constitute a legally binding agreement between you and Spry & Hodler Investment Group ("Company," "we," "us," or "our"). We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into binding contracts
• Not be a resident of a jurisdiction where our Services are restricted or prohibited
• Provide accurate, complete, and current registration information
• Successfully complete our Know Your Customer (KYC) verification process

We reserve the right to refuse service, terminate accounts, or cancel investments at our sole discretion if we determine that you do not meet these eligibility requirements.

3. Account Registration and Security

When you create an account with us, you agree to:

• Provide truthful, accurate, and complete information during the registration process
• Maintain and promptly update your account information to keep it current
• Maintain the confidentiality of your account credentials, including your password and any two-factor authentication codes
• Immediately notify us of any unauthorized access to or use of your account
• Accept responsibility for all activities that occur under your account

We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

4. Investment Services

Nature of Services

Spry & Hodler provides managed investment services across three primary asset classes: cryptocurrency, real estate, and agriculture. Our investment plans are designed to provide diversified exposure to these markets according to the risk profile and terms described for each plan.

Investment Risks

All investments carry inherent risk. The value of your investment may go down as well as up, and you may receive back less than your original investment. Past performance is not indicative of future results. Specific risks include but are not limited to:

• Market risk and price volatility, particularly in cryptocurrency markets
• Liquidity risk — some assets may not be readily convertible to cash
• Regulatory risk — changes in laws may affect investment returns
• Agricultural risks including weather, crop failure, and commodity price fluctuations
• Real estate risks including property devaluation, vacancy, and interest rate changes

No Guaranteed Returns

Projected returns stated on our platform are estimates based on historical performance and current market analysis. They are not guarantees. Actual returns may differ materially from projected figures.

5. Fees and Charges

Our fee structure is disclosed on the relevant plan page and in your investment agreement. Fees may include:

• Management Fees: An annual percentage of assets under management, charged monthly
• Performance Fees: A percentage of returns above a specified benchmark (applicable to select plans)
• Withdrawal Fees: Applicable for early withdrawals before the stated term
• Transaction Fees: Costs associated with buying, selling, or transferring assets

We reserve the right to modify our fee structure with 30 days' prior written notice. Updated fees apply to new investments and renewals, not to existing locked-in terms.

6. Deposits and Withdrawals

Deposits are processed within 1-3 business days of receipt. Withdrawal requests are subject to the terms of your specific investment plan. Standard withdrawal processing times are 5-10 business days. Early withdrawal penalties may apply as specified in your investment agreement.

We reserve the right to delay or refuse transactions that we believe may be fraudulent, in violation of these Terms, or in breach of applicable law.

7. Intellectual Property

All content on our platform — including text, graphics, logos, trademarks, software, and data — is the property of Spry & Hodler Investment Group or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any content without our prior written consent.

8. Prohibited Activities

You agree not to:

• Use the Services for money laundering, terrorist financing, or any illegal activity
• Provide false or misleading information during registration or KYC verification
• Attempt to gain unauthorized access to any part of the platform or other users' accounts
• Use automated systems, bots, or scripts to access the Services
• Circumvent any security measures or access controls
• Engage in market manipulation or fraudulent trading activity

9. Limitation of Liability

To the maximum extent permitted by applicable law, Spry & Hodler Investment Group, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Services.

Our total liability for any claim arising from or related to these Terms shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Spry & Hodler Investment Group and its affiliates from any claims, liabilities, damages, losses, and expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may terminate or suspend your account and access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA), with the seat of arbitration in New York, NY.
